This is probably a conversion issue since Word 2000 and 2002 treat text boxes differently. I couldn't find anything in the Microsoft Knowledge Base, though. Have you tried recreating the box in 2002?
Depending on your needs, you might consider using Frames instead of text boxes. Frames have more advantages than text boxes, such as the ability to see them in Normal view and Headings can be included in TOCs. You could run a batch macro to convert text boxes to frames on the 2000 documents before opening in Word 2002.

Thanks though. That's the only way we did it, recreating the text boxes. The problem is, there are many Word2000 files that has textboxes. That checkbox is clear already. I noticed also that my problem is only affecting the width of the text box and not the height.
FYI, I tried to check the box and clear it but I still have the same problem.
Right-click the text box and select Format Text Box. Go to the Text Box tab and clear the check next to the Resize Autoshape to Fit option.
