I am running MySQL 4.1.22 and for the most part its working fine, however a number of folks say I would be off running MySQL 5.
In addition I am running php 4.4.4 should I upgrade that as well?

I am guessing that going to mysql 4 to 5 there has to be some benefits, thus the new version numbers. Is there any reasons why I would not want to upgrade? I am only running vbulletin and php ads new on my server.
What benefits if any would I gain?
What problems would I have if I did move up?

Use whatever you feel comfortable with. PHP 5.2 and MySQL 5.0 are the latest stable versions.
Are there any speed benefits from using PHP 5.2 or MySQL 5.0? Of course! Will you notice a difference? No.
vBulletin shouldn't have any issues with PHP 5.2 or MySQL 5.0. :)
I'm running those versions just fine. I would suggest you use PHP 5.2.1 and MySQL 5.0.37.
